How we contract

What we put in writing before we start

We’re a young company, so we don’t ask you to trust a logo wall. We ask you to read the terms. Everything on this page goes into a signed contract before any work begins. These are plain-English summaries; the signed MSA and SOW govern.

The documents, in order

Five documents, each with a job.

The contract documents and when each is signed
DocumentWhenWhat it does
NDABefore you share anything confidentialMutual confidentiality. We’ll sign yours, or send ours within one business day.
MSA (Master Services Agreement)Before the first SOWThe legal framework: confidentiality, IP, data protection, liability, termination and disputes.
DPA (Data Processing Agreement)With the MSA, if we handle personal dataWe act as your processor. For UK and EU personal data we use the UK International Data Transfer Agreement or the EU Standard Contractual Clauses. Any sub-processors are listed.
SOW (Statement of Work)For each engagementScope, deliverables, named team, fees or milestones, acceptance criteria and exit gates.
SLA (Service Level Agreement)With the SOW, for pods and managed supportResponse and resolution targets by priority, reporting and service credits.

The clauses buyers ask about

Seventeen answers you’d otherwise have to ask for.

01

A named team, no silent rotation

The engineers on your engagement are named in the SOW. We won’t replace or reassign any of them without your written approval, unless someone leaves Laxora or can’t work. Any replacement is proposed to you first, and you can interview them. We cover a handover overlap at our cost. Meet the team.
02

You own the work

When each invoice is paid, the IP in the work it covers is assigned to you. If we use any pre-existing Laxora tooling, it’s listed in the SOW and licensed to you permanently.
03

Your repositories, your accounts, from day one

We work inside your GitHub or GitLab, your cloud account and your issue tracker. You can see everything as it happens, and you can remove our access at any time.
04

No build without signed gates

Our six-phase process — Discover, Design, Architect, Build, Assure, Operate — has a written exit gate at the end of each phase. Build doesn’t start until you’ve signed off scope and success criteria, design and architecture. See the full process.
05

Sprint-1 guarantee (all new pods)

Before sprint 1 starts, we agree in writing what working software you’ll see at the first demo. If we miss it, sprint 1 is free.
06

Discovery Sprint gate

On day one of a Discovery Sprint we agree what the artefacts must contain to pass the gate. If they don’t meet those criteria, you don’t pay for the Discovery. If you continue to build with us, the fee is credited in full.
07

Changes are written down before they’re worked on

Scope changes are raised in writing, estimated and approved before work starts. There are no surprise invoices.

08 · Reporting you don’t have to chase

Five cadences, all of them written down.

Reporting cadence and what each one contains
CadenceWhat you get
DailyStandup, with blockers raised the same day
WeeklyA written status report covering progress, risks and decisions needed
Every two weeksA sprint demo of working software, not slides
MonthlyA steering review of scope, budget and roadmap
QuarterlyAn engagement review of value delivered and direction

You also get live access to the sprint board.

09 · A named route when something goes wrong

Three levels, each with an owner and a clock.

Escalation levels, owners and response times
LevelOwnerResponse
1Your delivery managerSame business day
2Engineering leadNext business day
3Company leadershipPromptly after that

These are our standard commitments. Your SOW can set tighter ones.

10 · Written SLA for live systems

Standard managed-support terms.

Incident priorities and what each one means
PriorityExample
P1Production down, or data at risk
P2A major feature broken, with no workaround
P3A feature degraded, with a workaround available
P4Minor issue or request

Response and resolution targets for each priority are written into your SLA, along with business hours aligned to your time zone. Out-of-hours P1 cover is available as an add-on. If we miss a target, you receive service credits against that month’s support fee — the rate and the cap are in the SLA, agreed before you sign.

11

Payment terms

  • Pods and staff augmentation: the first month is invoiced at signature, then monthly. The payment window is set out in the SOW.
  • Fixed-scope projects: milestone payments, as set out in the SOW.
  • Currencies: GBP, AED, USD, EUR or INR.
  • Taxes: we invoice from India as an export of services. UK and UAE business customers account for VAT under the reverse charge.
12

Liability

Each side’s liability is capped at the fees paid over an agreed period before the claim, and neither side is liable for indirect or consequential losses. Standard exceptions apply and are set out in the MSA.
13

Governing law and disputes

  • UK clients: the law of England and Wales.
  • UAE clients: DIFC law, with disputes heard by the DIFC Courts or by arbitration at DIAC.
  • Elsewhere: we agree a neutral seat for arbitration.

Every contract is with Laxora Software Private Limited, India.

14

Leaving us

After any initial term, retainers end on the notice period stated in your contract. Fixed-scope projects end as set out in the SOW. When you leave, we hand over documentation, runbooks and credentials, and record a walkthrough of the system. You already own the repositories.
15

Subcontracting

We don’t subcontract any of your work without your written consent.
16

AI tools

We tell you which AI coding tools we use on your code, and we don’t use tools that train on it. Every change is reviewed by a human engineer before merge, whoever or whatever wrote it. IP terms apply the same way.

17 · Security, stated honestly

What’s in place, and what isn’t.

In place today

  • MFA on all company accounts and repositories
  • Least-privilege access, removed when the engagement ends
  • Secrets kept in a secret manager
  • Mandatory pull-request review
  • Static analysis and dependency scanning in CI

Certifications

We don’t currently hold ISO 27001, SOC 2 or Cyber Essentials. When we do, the certificate and its register entry will be published here and nowhere earlier. Read our security page.
